Job Summary
Hong‑Kong based holding company with operating subsidiary in Mainland China for medical‑tech business. Reporting to HK Board of Directors, responsible for group cross‑border risk, related‑party transaction governance and cross‑border debt review. Establish internal‑control framework to ensure dual‑jurisdiction compliance and support financing & capital market plans.
Key Responsibilities
1. Review cross‑border related‑party transactions and intra‑group fund flows between HK holding entity and mainland subsidiary; identify external‑debt and cross‑border fund‑movement risks, in compliance with Hong Kong Companies Ordinance and Mainland external‑debt & foreign‑exchange regulations.
2. Set‑up group internal‑control governance framework; review keep‑well deeds and cross‑border guarantee structures, formulate cross‑border compliance policies and provide risk advice for material group transactions.
Requirements
1. PhD preferred; minimum 20 years senior practical experience in financial regulation or large‑scale financial institutions.
2. Hands‑on experience in Mainland China regulatory regime and banking practice, with proven exposure to cross‑jurisdiction regulatory matters.
3. Fluent in Mandarin, competent English reading & writing; available for regular duty in Hong Kong and accept HK‑GBA commuting.
4. Healthcare / biotech industry experience is a plus.
