Responsibilities

  • Handle full range of company secretarial duties for the listed group companies and associated private companies and ensure compliance with corporate governance requirements
  • Handle statutory and regulatory compliance matters, filings and correspondence with relevant regulatory authorities
  • Communicate with shareholders, organize board / general / committee meetings and prepare announcements, circulars, interim / annual reports, etc.
  • Attend board meetings and prepare minutes / resolutions for the group companies
  • Provide strategic advice on material transactions and corporate matters of the group companies and assist in execution of the corporate actions
  • Ensure all transactions of the group companies comply with Company Ordinance, Listing Rules and other statutory and regulatory requirements
  • Liaise with lawyers, financial advisors, the Hong Kong Stock Exchange and other regulatory authorities

Requirements

  • University degree in Business Administration, Corporate Governance, Law or a related discipline, membership of HKICS / ICSA or equivalent is required
  • Minimum of 8 years of company secretarial experience in which 5 years with listed / holding companies with proven track record in corporate finance, direct investment and private equity
  • Well versed in Company Ordinance, Listing Rules, Securities and Futures Ordinance and other related regulations
  • Great interpersonal and presentation skills and is able to communicate well with senior management
  • Excellent command in spoken and written English and Chinese, fluency in Mandarin
