Job Description

Our client is currently looking to hire a Deputy Company Secretary / VP to join the Company Secretarial Department working with a team of 5.

Reported to Group Company Secretary

  • Lead and manage the private side of the Group Secretariat function with direct responsibility for its day to day management
  • Support the Group Company Secretary with all relevant aspects of corporate governance
  • Support and assist the Group Company Secretary in all (group) Board, and if required Committee meetings
  • Supervise the maintenance of the group corporate secretariat information database
  • Ensure implementation of group corporate secretariat systems and processes for all newly acquired entities or green field operations
  • Planning of the group company corporate calendar so as to comply with both statutory, regulatory and business requirements
  • Act as alternative point of contact for all group board members
  • Organise and prepare all meeting materials and minutes for group board and shareholder meetings
  • Ensure compliance with all relevant statutory filings and reporting
  • Responsible for all KYC matters for the group
  • Manage and Lead team of plus minus 4/5 direct/indirect reports
  • Directly oversee all corporate secretariat aspects of some M&A projects
  • Support Corporate Secretary with corporate secretariat aspects of some M&A (including financing) projects
  • Support and drive work flow efficiency in the group through use of Blue Print and Diligent as well as the implementation of Board best practices (eg. Group Board Annual Assessments and Training)
  • Provide group co-sec oversight to regulated entities in Hong Kong, Thailand and Japan, including review of board meeting agendas, board materials, minutes and other relevant matters.

 

The Successful Applicant

  • Member of ICSA / HKICS
  • At least 15 years of relevant experience gained from sizable listed companies
  • Candidates with IPO experience would be an advantage
  • Solid experience in drafting and handling company secretarial documents for onshore and offshore companies
  • Proactive, self-motivated, well organised and multi-tasked
  • Excellent command of written and spoken English and Chinese (Putonghua)
  • Good team player with good communication skill and strong interpersonal skills
