Company Secretarial Services

The Company Secretarial Services Department comprises qualified lawyers, chartered company secretaries and executives of high caliber. We work as a team, with a mission to provide comprehensive and professional company secretarial services and advices to the Board and Board Committees as well as Senior Management of Hang Seng Group, with reference to best-in-class corporate governance practices, to facilitate the Bank in achieving long-term and sustainable success.

As a member of our Department, you will have the opportunity to leverage your professional company secretarial knowledge and gain valuable exposure and insights into the Bank’s strategic, business and operational aspects. With the Bank being part of the HSBC Group, you will also benefit from the sharing of experience and practices of the HSBC Group which has set a high standard of corporate governance by adoption of international best practices.

We are currently seeking a high caliber professional to join our Department as Senior Company Secretarial Manager to lead a team of highly qualified colleagues.

 

Principal responsibilities

The principal responsibilities of the role include :

  • Advising the Boards of Directors of Group companies on company secretarial and corporate governance matters and providing company secretarial support to the Board, its Committees, Non-Executive Directors, and Senior Management of Group companies in alignment with the Group’s corporate governance framework.
  • Devising and maintaining effective control framework to facilitate Group companies’ compliance with relevant corporate laws and regulations including the Hong Kong Listing Rules, Companies Ordinance, Securities and Futures Ordinance etc.
  • Leading and managing the Company Secretarial Team (with three qualified colleagues) within the Department.
  • Contributing to the development and implementation of strategic and operational objectives of the Global Company Secretarial function.

 

Requirements

  • Associate member of ICSA or HKICS
  • Over 10 years’ managerial experience in company secretarial field, with majority of it obtained from working for listed companies in Hong Kong
  • Previous working experience from a bank or insurance company is an advantage but not mandatory
  • Strong personal communication skills with fluency in both English and Chinese
  • High level of ownership and servicing mindset with dedication to delivering exceptional quality services and strong ability to think out of the box 
  • Great sense of ownership and servicing mindset to ensure efficient and effective customer service processes
