ROLE MISSION
The Solicitor or Registered Foreign Lawyer will advise clients on M&A transactions and other corporate matters from the initial planning and due diligence stage through to negotiation and completion.
The role will provide commercially focused legal advice, support international transactions and work closely with clients, colleagues and external professional advisers to deliver practical and effective solutions.
ROLE SUMMARY
This is an excellent opportunity for a Hong Kong Qualified Solicitor or Registered Foreign Lawyer with solid experience in corporate transactions and M&A work.
The successful candidate will join a growing international team and handle a broad range of matters, including M&A transactions, shareholder arrangements, corporate structuring, reorganisations and joint ventures.
The role offers meaningful exposure to international transactions, direct client contact and the opportunity to work with experienced lawyers and clients across different jurisdictions.
JOB DESCRIPTION
Advise clients on domestic and cross-border M&A transactions.
Support transactions from initial planning and legal due diligence through to negotiation and completion.
Review, draft and negotiate key transaction documents, including share purchase agreements, shareholder agreements and investment agreements.
Advise on corporate structuring, reorganisations, joint ventures and shareholder arrangements.
Review transaction structures and identify key legal, commercial and regulatory issues.
Coordinate legal due diligence and prepare or review due diligence reports.
Assist with transaction negotiations and communicate with clients, counterparties and external counsel.
Provide advice on corporate governance, compliance and relevant regulatory matters.
Work closely with tax advisers, accountants, financial advisers and other professional consultants.
Coordinate with colleagues in Europe and other international offices on cross-border matters.
Help clients understand legal issues and provide practical, commercially focused advice.
Build and maintain strong working relationships with clients and professional contacts.
Contribute to the development of the firm’s corporate and M&A practice.
Support other corporate and commercial matters as required.
IDEAL CANDIDATE
Hong Kong Qualified Solicitor or Registered Foreign Lawyer.
At least 4 years of post-qualification experience.
Minimum 2 years of solid experience in transactional work, preferably including M&A.
Experience in share purchase agreements, shareholder agreements, investment agreements or similar transaction documents.
Experience in corporate structuring, reorganisations, joint ventures or related corporate matters.
Strong legal drafting, analytical and negotiation skills.
Excellent written and spoken English.
Commercially minded and able to provide practical legal advice.
International experience or an international outlook is highly valued.
Proficiency in Chinese and/or a European language is an advantage.
