Responsibilities:

  • Handle basic company secretarial duties for a number of private companies, including preparation of minutes and statutory reporting (including disclosure of interest reporting);
  • Assist in company secretarial matters for and in connection with listed company, including monthly return on movement in securities, announcement, circular, interim results and report, annual results and report and disclosure of interests under SFO;
  • Arrange meetings of directors, committees and members, and assist in preparation of agenda, notices and minutes of such meetings;
  • Coordinate with other departments, share registrar and printer in respect of any corporate governance and exercise; and
  • Handle ad hoc projects.

Requirements:

  • Student member of HKICS or its equivalent;
  • Degree or diploma holder in related discipline;
  • At least 3 years’ solid experience in company secretarial matters;
  • Good knowledge of Listing Rule, Hong Kong Companies Ordinance; and other rules / offshore jurisdictions;
  • Solid experience in main board listed company is highly preferred;
  • Good command of both English and Chinese;
  • Able to work independently and self-initiative;
  • Good command of MS WORD and Chinese processing; and
  • Immediate available will be highly preferred.
