Mission of the Job

  • Understand and pick up corporate governance related rules/regulations/laws from different APAC countries and apply them to ensure compliance by the KB entities operating in such countries (China, India, Hong Kong, Singapore, Thailand, Australia, Japan, South Korea, Taiwan, etc…).

 

Tasks & Responsibilities

  • Liaise with and manage internal/external corporate governance representatives / company secretaries to ensure that the KB entities operating in the various APAC countries comply with local corporate governance rules, regulations and laws.
  • Consolidate and manage corporate governance related workstream from the 30 KB entities in the APAC region to ensure KB operates with good corporate governance, including:
    • Tracking and preparing for board meetings of the KB entities in APAC;
    • Preparing and tracking all board resolutions passed the KB entities in APAC;
    • Assist with developing and maintaining a signature mandate for KB entities in APAC;
    • Coordinate annual and other company filings with local internal corporate governance representatives and external company secretary;
    • Develop and maintain database for tracking corporate information of KB entities in APAC;
    • Review and update company articles to ensure legal compliance and “user friendliness”;
    • Handle directors/shareholders disclosures in accordance with legal requirements in each jurisdiction;
    • Develop and train staff in complying with legal Corporate Governance related guidelines (i.e. material disclosures).

 

Requirements

  • 5+ years experience in company secretarial and/or legal/compliance/operational risk roles
  • Bachelor or above degree from a well-established university in law, finance, accounting, statistics or commerce.
  • Quick learner who can pick up new concepts, laws, regulations, be able to analyze them, and apply them practically to corporate governance related matters and problems.
  • Self-motivated to learn and problem solve.
  • Exceptional attention to detail.
  • Excellent analytical and organizational skills.
  • Demonstrates rigor in the workplace
  • Excellent communication skills
  • Language skills: English, Cantonese and Mandarin (written and spoken)
  • Excellent Microsoft office skills (Word, PPT, Excel).
